What Buyers Are Really Looking for in Agencies

Beyond the Headline Multiple

Agency transactions are often discussed in terms of revenue, EBITDA, and valuation multiples, but those figures rarely tell the full story. Buyers are assessing the durability and quality of the business behind the numbers — how revenue is generated, how dependent the agency is on individual clients or leaders, and whether its capabilities remain strategically relevant.

Two agencies with similar financial profiles can therefore attract very different levels of interest. Market position, client relationships, leadership depth, and the agency’s ability to sustain growth can materially shape how the business is viewed.

Strategic Relevance Matters

For many buyers, an acquisition is not simply about adding earnings. It may be about entering a new category, deepening a capability, accessing a client base, expanding geographically, or strengthening an existing platform.

That means the most compelling agencies often have a clear answer to a broader question: why does this business matter strategically? Agencies that understand their role within the wider market are generally better positioned to communicate value when opportunities arise.

Positioning Shapes Perception

The way an agency is positioned can influence how buyers understand both its current business and its future potential. A clear proposition helps distinguish the business from firms that may look similar on paper but compete in very different ways.

Strong positioning does not require simplifying the business beyond recognition. It requires identifying what is genuinely differentiated, commercially relevant, and difficult to replicate — and communicating that with discipline.

Buyers Are Looking Forward

Historical performance is important, but transactions are ultimately underwritten around the future. Buyers want confidence that client relationships can endure, leadership can scale, capabilities remain relevant, and growth can continue beyond the transaction.

For owners, this is why strategic preparation often matters well before a sale process begins. Building a stronger business and building a more valuable business are usually closely connected.
